Terms of Service
Last updated 15 September 2026. These terms apply to all engagements with Yenovate Lab Digital Solutions unless superseded by a signed agreement.
Scope of work
Every project is governed by a written proposal setting out deliverables, timelines and price. Work outside that scope is quoted separately before it begins. Nothing is added or removed without written agreement from both parties.
Payment terms
Unless stated otherwise, projects require a 50% commencement fee, with the balance due on delivery and before final handover. Larger engagements may be structured around milestones. Prices are quoted in Nigerian naira and exclude third-party costs such as domains, hosting and licensed assets.
Client responsibilities
Timely provision of content, brand assets, feedback and access is required to keep a project on schedule. Delays in these items extend the delivery timeline accordingly.
Revisions
The number of revision rounds is specified in your proposal. Additional rounds, or changes requested after a stage has been signed off, are billed at our standard hourly rate.
Intellectual property
On receipt of full payment, ownership of the final delivered website and its custom assets transfers to you. We retain ownership of our underlying tools, frameworks and reusable components, and the right to display the work in our portfolio unless otherwise agreed.
Third-party services
Hosting, payment gateways, plugins and APIs are governed by their own terms. We configure and integrate them but are not liable for their availability, pricing changes or policy decisions.
Support and warranty
Each project includes a defined post-launch support period covering defects in our work. It does not cover new features, content changes, or issues caused by third-party updates or client-side modifications.
Limitation of liability
Our total liability arising from any engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential losses, including lost profits or revenue.
Termination
Either party may terminate an engagement in writing. Fees for work completed up to the termination date remain payable, and completed deliverables are released on settlement.
